(쏫icksubs or 쐗e), located at 8 Tomlinson Road, 11-01 Hana, Singapore 24785 By using our Service, you agree to these terms. Please read them carefully.
쏽ou means you as an individual, or if applicable, the company or other legal entity you represent.
쏹sers means visitors to this website or the Service who are not registered users.
쏞ustomers means visitors who are also registered users of the Service that seek to use the Services.
쏶ervice means all the Kicksubs.com websites, services, apps, related technology, and the translation services provided to Customers.
쏰rders means any order for Services created by a Customer, and accepted by Kicksubs via acknowledge in the Platform or otherwise in writing.
쏞lient Materials means the source content for translation by the Service, and any guidelines, glossary and other materials provided by Customer.
쏷ranslated Works means the content translated from the Client Materials.
쏱latform means Kicksubs셲 online portal and platform where you can access your Kicksubs Account, initiate Orders and access the Service.
쏷OS means these Kicksubs Terms of Service and any policies, guidelines, or other documents referenced herein.
쏫icksubs Affiliates means any company or entity worldwide including, without limitation, corporations, partnerships, joint ventures, and limited liability companies in which Kicksubs directly or indirectly holds at least a 50% ownership, equity, or financial interest, including but not limited to its subsidiary Kicksubs.
					
If You are entering into this TOS(Terms of Service) on behalf of a company or other legal entity, You represent that You have the legal authority to bind the legal entity to this TOS, in which case 쏽ou or 쏽our means that entity. If You do not have this authority, or if You do not agree with the terms and conditions of this TOS, and You may not use the Service or any Service related materials. You represent that you are 18 years of age, or of the age of majority in your place of residence or jurisdiction.
You agree to:
   Be responsible for the activity that happens in connection with your Kicksubs account
   Keep your password confidential
   Comply with any policies made available to you by Kicksubs
   Not abuse or conduct illegal activity using our Service
   Not contact or attempt to contact Members of Kicksubs Team outside of the Platform that Kicksubs provides for communication
   Not defame or harass Kicksubs, or its employees, contractors, or customers.
   Not create multiple Kicksubs accounts for any reason
Kicksubs may suspend or terminate your access to the Service or an Order if you do not comply with this TOS or if we suspect misconduct, fraudulent activities or payment, or a violation of this TOS, with or without notice.
Kicksubs may modify or suspend the Platform or Service, at any time for any reason.
If You are a Translator, or applying to become a Translator,
					
Account and Credits. Before initiating an Order, You must first register as a Customer and create a Kicksubs account. You agree to keep all account information updated and accurate at all times. Any personal information you provide will be subject to the Kicksubs Privacy Policy.
Payment. Before initiating an Order, Customer must buy sufficient Kicksubs credits for the Services you desire to purchase. Kicksubs membership can be purchased here(濡쒓렇씤 럹씠吏 씠룞).
Kicksubs will apply gross-up calculation to the payment. This means that the payment to Kicksubs must be made in cleared funds, without any deduction or set-off and free and clear of and without deduction for or on account of any taxes, levies, imports, duties, charges, fees and withholdings of any nature now or hereafter imposed by any governmental, fiscal or other authority save as required by law. If you are compelled to make any such deduction, you will pay Kicksubs any additional amounts as are necessary to ensure receipt by Kicksubs of the full amount it would have received but for the deduction.
Order. Customer can initiate an Order by providing all the required information via the Platform.
Client Materials. Customer is responsible for providing the Client Materials to be translated, materials describing the context of the translation, and all other necessary materials (glossary guide, etc.) when placing the Order. Kicksubs may make recommendations on which source materials and in what format to provide source materials, but ultimately the quality of the results will depend on the clarity, accuracy, and comprehensiveness of the Customer셲 source materials and instructions provided.
Cancellations. Customer cannot cancel any Order if the project has been engaged by AI engine. To attempt to cancel an Order, customer has to contact Kicksubs customer support directly at kicksubs@iyunomg.com  to inquire if the Order can be cancelled. 
Delivery of Translated Works. If the Order is completed by AI engine, Kicksubs will return the Translated Works to Customers according to the quality level specified in the Order.
Kicksubs gives an estimated time for Service completion, but cannot guarantee an exact delivery time. We will email you when the Translated Works are ready for your review. Unless otherwise expressly agreed by Kicksubs, time is not of the essence for delivery or performance, and no delay shall entitle you to reject any delivery.
Approval or Rejection. Upon Kicksubs셲 notification of delivery of the Translated Works. Customer may approve the Translated Works via the Platform and Youtube Creator Studio. Once 쏛pproved, no alterations, revisions, or refunds of the Translated Works will be provided.
Due to the nature of language translation, errors in translations will inevitably occur. Customers may delete and edit the Translated Works via Youtube Creator Studio. If Kicksubs determines that the Translated Works that you have contacted us to reject did not meet the quality level specified in the Order, then Kicksubs will honor the rejection and provide a retranslation or allow the Order to be cancelled.
Kicksubs셲 liability will be limited to correcting the errors or providing refund.
Disclaimer. You agree to review any Translated Works before making such content public, and you expressly agree that Kicksubs will not have any liability or indemnity obligations to you based on the Translated Works if you fail to do so.
					
We disclose the Client Materials to Kicksubs Team members, in order to provide you the Service (e.g., previewing the content in order to decide whether to engage the Order) and as set forth in Section 5 below.
					
All intellectual property rights in the Translated Works will be assigned to Customer upon Customer셲 Approval of the Translated Works and Your compliance with this TOS.
The trademarks, names, logos and service marks (collectively 쏷rademarks) such as 쏫icksubs, 쐌yKicksubs, and 쏞ommunicate Freely, are trademarks of Kicksubs. Nothing contained in this TOS shall be construed as granting any license or right to use any Trademark without Kicksubs셲 prior written permission. The content on the Service is protected by intellectual property laws and may not be copied, distributed, modified, published, or transmitted in any manner.
Third party content and trademarks displayed on the Service are owned by their respective owners and may not be reproduced in whole, or in part, without the express written permission of the owner.
If you opt in to allow Kicksubs to use your Translated Works as 쐏ublic examples, you grant Kicksubs a worldwide, perpetual, royalty-free, irrevocable, license to publish and display your Client Materials and related Translated Works in connection with operating, promoting, and improving our Services. This license continues even if you stop using our Services.
If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.
In order to provide you and our other customers the best possible translation and language services, we (and those we work with) may use your Client Materials and Translated Works to generally improve the Services (for example, fine tune our turn around time estimates, or improve machine translation and machine learning systems) and develop new products or services ourselves or in partnership with third parties. If we do this, we never make your Client Materials or Translated Works publicly available.
					
Customer represents and warrants that it has all necessary right, title, and interest in the Client Materials, and that the Client Materials will not and do not infringe or violate any third party셲 rights, do not violate any law, and do not contain any offensive or unacceptable content.
The Service and Translated Works are provided 쏛S IS. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER KICKSUBS NOR ITS TRANSLATORS, CONTRACTORS, OR SUPPLIERS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. WE DON셏 MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES 쏛S IS.
SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
					
Customer will indemnify and hold harmless Kicksubs, its affiliates, current and past directors, officers, and employees from and against any and all claims, taxes, losses, damages, liabilities, judgments, settlements, costs and expenses, including attorneys fees and other legal expenses, arising directly or indirectly from or in connection with: (1) Customer셲 breach of any of its representations, warranties or obligations under this TOS; (2) Customer셲 negligent, reckless or intentionally wrongful act or by its assistants, employees, contractors or agents; (3) Customer셲 failure to perform its obligations or exercise its rights in accordance with all applicable laws, rules and regulations.
					
IN NO EVENT SHALL EITHER PARTY OR ANY KICKSUBS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS OR LOSS OF BUSINESS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER EITHER PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. IN NO EVENT WILL KICKSUBS셎 OR KICKSUBS셎 AFFILIATES LIABILITY HEREUNDER EXCEED THE AMOUNT PAID BY THE CUSTOMER TO KICKSUBS DURING THE 12 MONTH PERIOD BEFORE THE EVENT GIVING RISE TO LIABILITY.
					
This Agreement is governed by the laws of the Singapore. Any claims or disputes shall be resolved in the state or federal courts located in Singapore.
Kicksubs may modify this TOS at any time. You should look at the terms regularly. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
If there is a conflict between the terms in this TOS and an Order, the Order will control for that conflict.
This TOS controls the relationship between Kicksubs and you. They do not create any third party beneficiary rights.
If you do not comply with this TOS, and we don셳 take action right away, this doesn셳 mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.
You may not assign, transfer, or delegate any portion of this Agreement without Kicksubs셲 prior written consent. Kicksubs may assign, transfer, or delegate any portion of this Agreement with or without notice to You. Your attempt to assign, transfer, or delegate this Agreement without Kicksubs셲 consent will be null and void.
					
By using our site, you agree to us placing these sorts of cookies on your device and accessing them when you visit the site in the future. This Privacy Policy explains what information of yours will be collected by Kicksubs when you use Kicksubs.com and/or related Kicksubs software and services (the 쏶ervice), how the information will be used, and how you can control the collection, correction and/or deletion of information. Information We Collect
User-Provided Information: As part of using the Service, you may be required to provide certain information in order to register and set up an account (쏳egistration Data). If you invite a friend to try Kicksubs, we will use that friend셲 email address for the sole purpose of sending your invitation.

Clear Gifs Information: When you use the Service, we may employ clear gifs (a.k.a. Web Beacons) which are used to track the online usage patterns of our users anonymously. No personally identifiable information from your Kicksubs account is collected using these clear gifs. We may also use clear gifs in HTML-based emails sent to our users to track which emails are opened by recipients. The information is used to enable more accurate reporting, improve the effectiveness of our marketing, and make Kicksubs better for our users.
How We Use Your Information
User-Provided Information: By providing Kicksubs your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. As part of our registration process we will also ask your permission to use your email address to send you other messages, such as newsletters, changes to features of the Service, or special offers. If you do not want to receive such email messages, you may change your marketing preferences by going to your account setttings page.
Kicksubs may use certain information about you without identifying you as an individual to third parties. We do this for purposes such as analyzing how the Service is used, diagnosing service or technical problems, maintaining security, and improve the Service.
We use cookies, clear gifs, and log file information to: (a) remember information so that you will not have to re-enter it during your visit or the next time you visit the site; (b) provide custom, personalized content and information; (c) monitor the effectiveness of our service; (d) monitor aggregate metrics such as total number of visitors and traffic; and (e) diagnose or fix technology problems reported by our users or engineers that are associated with the IP addresses controlled by a specific web company or ISP.

Customer, email, and visitor information is generally one of the transferred business assets in these types of transactions. We may also transfer such information in the course of corporate divestitures, mergers, or dissolution.
Except as otherwise described in this Privacy Policy, Kicksubs will not disclose personal information to any third party unless required to do so by law or subpoena or if we believe that such action is necessary to (a) conform to the law, comply with legal process served on us or our affiliates, or investigate, prevent, or take action regarding suspected or actual illegal activities; (b) to enforce our rights, take precautions against liability, to investigate and defend ourselves against any third-party claims or allegations, to assist government enforcement agencies, or to protect the security or integrity of our site; and (c) to exercise or protect the rights, property, or personal safety of Kicksubs, our users or others.

Our center of operation is in the United States. Your data is held in the United States and transactions are processed in US Dollars on servers in the United States. As such, all data is held in accordance with United States laws and procedures which differ from those in other regions of the world, such as the European Union. By using this service, you acknowledge that you understand and agree to these data policies.
